This
non-profit organization shall be known as the BARTON VIEW NEIGHBORHOOD
ASSOCIATION. This body has been assembled to promote the beauty, health
and security of the neighborhood; to maintain the quality of life of its
residents; to protect residential characteristics and property values; to
preserve the natural beauty and water quality of the Barton Creek Greenbelt
which adjoins the neighborhood; and to maintain membership in the Austin
Neighborhoods Council.
The
neighborhood is bound by Capitol of Texas Highway (Loop 360) north by northeast;
Highway 290 West southeast to south; and Mopac Expressway (Loop 1) west to
northwest. Eligible for membership
are current residents of property now bound by the City of Austin property north
by northeast; Highway 290 West on the south; and on both sides of Stearns Lane
on the west.
On payment
of current dues established by the Association membership is open to any legal
resident, at least 18 years of age, who resides within the boundaries of the
aforementioned neighborhood.
One vote per
legal address of a dues-paying household member shall be accepted on any issue
presented to the membership. The
one dues-paid member of each household must be present at a regular, called or
scheduled meeting to vote and must be a current resident of the neighborhood.
Proxies given by the homeowner or renter to another homeowner or renter
in the neighborhood will be accepted no later than the beginning of the meeting
at which voting is to occur. Voting
disputes may be presented to incumbent Officers for resolution.
An
Annual Meeting shall be held in the third week of January.
Regular Meetings shall be held the third week of May and September,
unless otherwise scheduled on notification of community members. The membership
will be notified at least one week in advance of every Regular or Annual
Meeting. Officers shall meet at
least quarterly.
The officers of the Association shall consist of a
Chairperson, Vice Chairperson, Secretary, Treasurer and Communications
Coordinator. Officers shall be elected by majority vote at the Annual Meeting of
the Association and shall serve a one-year term. No officer shall serve more
than two consecutive terms in the same office.
All officers, committee members, and appointees shall serve the
Association without pay.
Chairperson – Shall
preside at all meetings and be the official representative of the Association at
public functions; sign all noteworthy documents and checks issued by the
Association; and make committee head appointments.
Vice Chairperson –
Shall maintain all archives pertaining to the operation of the Association and
shall act in the place of the Chairperson in their absence and discharge such
other duties as may be required.
Secretary – Shall
record votes and keep minutes of all meetings and proceedings; keep and update
records and make them available to the membership and other interested parties.
Treasurer – Shall
receive and deposit all funds for the Association and disperse them as
necessary; co-sign all checks and keep proper books of accounts.
A statement of income and expenditures shall be presented for inspection
at the Annual Meeting.
Communications Coordinator – Shall serve notice of all meetings; produce a
neighborhood newsletter in collaboration with the Chairperson; and coordinate
communication with Block Captains.
Parliamentary
Procedure under Roberts
Rules of Order shall govern the Association
proceedings except when inconsistent with the Bylaws of the Association.
The Parliamentarian shall be present at Regular and Annual Meetings to
ensure quality and control of voting procedures.
The Parliamentarian shall be appointed by the Chairperson.
Special
committees of the Association shall be established as needed.
Any voting member may serve as a committee chairperson or member.
The committee chairperson shall be appointed by the Association
Chairperson. Frequency of committee
meetings shall be determined by committee and Association Chairpersons.
These Bylaws
may be amended at any meeting of the Association, upon a two-thirds vote of
those present and voting; provided that written notice has been delivered to all
members of the Association at least one week prior to the meeting.
These Bylaws
are effective April 20, 2000, following initial election of Officers at a called
meeting March 14, 2000 on notification delivered to each legal address in the
aforementioned neighborhood. Pending
development, these Bylaws are subject to total replacement at the next Annual
Meeting of the Membership, by documentation supporting Articles of Incorporation
of a Non-Profit Association, with then current Bylaws.
